Terms of Service

DRAFT PENDING ATTORNEY REVIEW. These terms reflect The Baratelli Institute's intended commercial posture in plain language, drafted by the Institute for review by counsel prior to commerce launch. A multi-AI-attorney panel review is queued. Until that review completes, these terms are informational only.

1. The agreement

These Terms of Service (the "Terms") govern your use of the website at baratelliinstitute.com (the "Site"), the practitioner tools hosted on the Site, the editorial publications (the "Brief" and the "Field Notes"), and the reference guides distributed via Gumroad or directly (the "Guides"). The Site, tools, Brief, Field Notes, and Guides are collectively the "Services." The Services are provided by The Baratelli Institute (the "Institute"), a single-founder publishing entity based in Ponte Vedra Beach, Florida, USA.

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. License — what you can and can't do with a purchased Guide

When you purchase a Guide, the Institute grants you a perpetual, non-exclusive, non-transferable, single-user license to:

  • Read the Guide.
  • Use the Guide's frameworks, checklists, and templates in your professional and personal work.
  • Print one copy for your personal reference.
  • Quote short passages (under 50 words) in your own work with attribution to The Baratelli Institute.

You may not:

  • Resell, redistribute, or share the Guide PDF with others.
  • Post the Guide on file-sharing networks, internal company shared drives, or any location where multiple users can access it without each having purchased their own license.
  • Republish or sell the Guide's content as part of a competing product.
  • Remove copyright notices or modify the Guide.
  • Use the Guide to train machine-learning or AI models without express written permission.

If you need multi-seat access for a firm or team, contact the Institute about a multi-seat or enterprise license.

3. Refunds

30-day, no-questions refund. If a Guide is not what you expected, request a refund within 30 days of purchase and we will issue one. Refund requests are handled via Gumroad, the merchant of record. No explanation required.

After 30 days, refunds are at the Institute's discretion.

4. Free tools and Brief subscription

The practitioner tools hosted on the Site and the Brief / Field Notes editorial publications are free to use. We may modify, restrict, or discontinue any free tool at any time. Tool calculations and outputs are provided as planning aids; see Section 5 below.

5. Not professional advice

The Services do not constitute legal, tax, accounting, investment, medical, or psychological advice. The Guides, tools, and editorial publications are practitioner reference materials and educational content. They are not a substitute for individualized professional advice from a licensed attorney, CPA, financial advisor, registered investment adviser, broker-dealer, physician, or licensed mental-health professional in your jurisdiction.

Decisions that touch law, tax, finance, health, or any other regulated domain should be made in consultation with a licensed professional who knows your facts. The Institute is not a registered investment adviser, broker-dealer, or law firm. No attorney-client, fiduciary, or advisory relationship is formed by your use of the Services.

6. Accuracy and currency

The Institute takes substantial care to be accurate and current. The Guides reference statutes, tax rates, regulations, and market conditions that change over time. We update the Guides periodically; we do not guarantee that any specific figure, statute, or market reference is current at the moment you read it. Verify any time-sensitive figure against a primary source before acting on it.

7. User-generated content (waitlist, contact forms, comments)

If you submit information through a form on the Site, you grant the Institute a license to use that information to operate the Services (e.g., to respond to your inquiry, deliver a requested extract, or send the publication you subscribed to). We do not publish user-submitted content publicly without your express consent.

8. Trademarks and third-party marks

"The Baratelli Institute," "Mentoring at Scale," and the related logos and series titles are trademarks of the Institute. Third-party names mentioned in the Guides (companies, authors, books, software) are used for educational and editorial purposes and remain the property of their respective owners. Mention of a third party is not an endorsement or sponsorship.

9. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. The Institute does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the maximum extent permitted by applicable law, the Institute, its founder, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory.

The Institute's total cumulative liability for any claim arising out of or relating to the Services shall not exceed the greater of (a) the amount you paid the Institute for the Service giving rise to the claim in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify and hold harmless the Institute, its founder, and contractors from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your misuse of the Services, or (c) your violation of any third-party right, including any intellectual-property right, in connection with your use of the Services.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Duval County or St. Johns County, Florida, and the parties consent to the jurisdiction of those courts.

For consumers in jurisdictions with mandatory consumer-protection venues, this clause is subject to those mandatory protections.

13. Changes to these Terms

We may update these Terms. The "Last updated" date at the top will reflect the most recent change. Continued use of the Services after a change constitutes acceptance of the updated Terms. Material changes will be announced via the Brief or a banner on the website.

14. Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy and Cookie Notice, constitute the entire agreement between you and the Institute regarding the Services.
